1. About these Terms
These Terms of Use (these “Terms”) govern your access to and use of holonhealth.com and the websites, content, and online features Holon Health, Inc. and its affiliates (collectively, “Holon,” “we,” “us,” or “our”) operate (collectively, the “Site”). By using the Site, you agree to these Terms.
These Terms are about the Site. If you are a Holon patient, your clinical care, your privacy rights as a patient, and the consents that govern your care are addressed in:
- the Client Agreement you sign at the start of care (in the Holon Vibe application);
- the Notice of Privacy Practices (NPP), available at holonhealth.com/notice-of-privacy-practices;
- the Patient Rights page at holonhealth.com/patient-rights;
- our Privacy Policy at holonhealth.com/privacy-policy, which covers non-medical personal information; and
- our SMS Terms at holonhealth.com/sms-terms, which cover the Holon Care Engagement Alerts text-message program.
Those documents control over these Terms with respect to the topics they address.
2. Who can use the Site
You represent that you are at least 18 years old and located in the United States. You also represent that you are not a person prohibited from using the Site under any applicable law.
If you are creating an account or scheduling care on behalf of a patient who is a minor or who has a legal representative, you represent that you have the legal authority to do so.
3. Site account responsibilities
If you create an account on the Site or in the Holon Vibe application (the “App”):
- Provide accurate, complete, and current information at registration and keep it up to date.
- Keep your password confidential. You are responsible for all activity under your account credentials.
- Notify Holon promptly at compliance@holonhealth.com if you suspect unauthorized use of your account or any other security concern.
4. Acceptable use
When you use the Site, you agree not to:
- Use the Site in any unlawful way or for any unlawful purpose.
- Post, transmit, or upload content that is libelous, defamatory, obscene, fraudulent, or false; that infringes any intellectual property right or privacy right; or that contains malware, viruses, or other harmful code.
- Impersonate another person or misrepresent your identity or affiliation.
- Tamper with, hack, spoof, copy, modify, or otherwise interfere with the security or proper function of the Site.
- Use robots, scrapers, or automated tools to access the Site, except for lawful indexing by general-purpose search engines and except as expressly authorized.
- Reverse engineer, decompile, or disassemble any code used by the Site or attempt to derive its source.
- Access the Site from a jurisdiction in which the content or services on the Site are unlawful.
Holon may delete content you submit that we determine, in our reasonable discretion, violates these Terms or applicable law. Holon may suspend or terminate access to the Site for users who violate these Terms.
5. Intellectual property
The Site and its content — including text, graphics, images, software, logos, trademarks, audio, video, and design elements — are owned by Holon or our licensors and are protected by U.S. and international intellectual property laws. We grant you a limited, revocable, non-transferable, non-exclusive license to view and use the Site for your personal, non-commercial use. Any other use requires our prior written permission.
“Holon Health,” “Holon,” “Holon Vibe,” and the Holon logo are trademarks of Holon Health, Inc. Other trademarks displayed on the Site are the property of their respective owners.
6. Third-party links and services
The Site may contain links to third-party websites or services. We provide those links for convenience and do not endorse, control, or accept responsibility for third-party sites or services. Your use of any third-party site or service is subject to that third party’s terms and privacy policy. Review them before use.
7. Use of automated tools and artificial intelligence
Holon uses automated tools and artificial intelligence (AI) on the Site and in our operations — for example, to operate the Vibe application, to personalize patient engagement, to support clinical documentation, to verify activities for the Rewards program, and for security and quality. Holon’s use of AI for medical care is described in the Notice of Privacy Practices and the Client Agreement; clinical decisions are made by Holon clinicians. 8. Privacy and cookies
Our Privacy Policy at holonhealth.com/privacy-policy describes how we collect, use, share, and protect non-medical personal information. Our Notice of Privacy Practices at holonhealth.com/notice-of-privacy-practices describes how we handle protected health information. By using the Site, you acknowledge those policies.
The Site uses cookies and similar technologies. You can manage your cookie preferences through the cookie consent banner that appears on your first visit, through the “Cookie Preferences” link in the Site footer, or through your browser settings. See the Privacy Policy for details about the categories of cookies we use.
9. Accessibility and language access
Holon is committed to making the Site accessible to people with disabilities, consistent with applicable law and recognized accessibility standards. Language assistance services and auxiliary aids are available at no cost. To request accessibility assistance or a different language, contact 877-465-6650 or engagement@holonhealth.com.
10. Non-discrimination
Holon does not discriminate on the basis of race, color, national origin, age, disability, sex (including pregnancy, sexual orientation, and gender identity), religion, creed, or any other classification protected by federal or state law, consistent with Section 1557 of the Affordable Care Act and applicable state law. The Patient Rights page at holonhealth.com/patient-rights describes Holon’s non-discrimination commitments in more detail.
11. Disclaimers
Not medical advice. The general information available through the Site is provided for informational purposes only and is not medical advice. Use of the Site does not create a clinician-patient relationship. For medical advice about your specific situation, consult a Holon clinician or another qualified health care professional. In an emergency, call 911.
“As is” and “as available.” To the fullest extent permitted by law, the Site, its content, and the services available through it are provided “AS IS” and “AS AVAILABLE.” Holon and its affiliates disclaim all warranties — express, implied, statutory, or otherwise — including warranties of merchantability, fitness for a particular purpose, title, non-infringement, and freedom from computer viruses.
Holon does not warrant that the Site will be uninterrupted, error-free, secure, or free of harmful components, or that the content on the Site is accurate, complete, current, reliable, useful, or suitable for any particular purpose. Site features may change without notice.
12. Limitation of liability
To the fullest extent permitted by law, Holon and its affiliates will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost data, or business interruption — arising out of or related to your use of the Site, even if Holon has been advised of the possibility of such damages.
Aggregate cap. To the fullest extent permitted by law, Holon’s aggregate liability arising out of or related to your use of the Site will not exceed the greater of (a) the amount you paid Holon for use of the Site in the 12 months preceding the event giving rise to the liability or (b) one hundred U.S. dollars (US $100).
Carve-outs. This limitation does not apply to (i) liability for personal injury caused by Holon’s negligence or willful misconduct, (ii) liability that cannot be limited or excluded by applicable law, or (iii) Holon’s clinical care obligations to its patients (which are governed by applicable medical malpractice law and the Client Agreement, not by these Terms).
13. Indemnification
To the fullest extent permitted by law, you agree to defend, indemnify, and hold harmless Holon and its affiliates from and against claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of (a) your use or misuse of the Site, (b) your breach of these Terms, (c) your violation of applicable law in connection with your use of the Site, or (d) any content you submit to the Site that infringes any third-party right.
14. Dispute resolution — arbitration and class action waiver
Please read this section carefully. It affects your rights. Disputes relating to your use of the Site will be resolved by binding individual arbitration, not in court.
Any controversy, dispute, demand, claim, or cause of action between you and Holon, or Holon’s employees, agents, successors, or assigns — including the interpretation, scope, and arbitrability of this clause — will be settled exclusively through binding and confidential individual arbitration, except that you or Holon may bring claims in small-claims court if the dispute qualifies, and except that each party retains the right to seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of intellectual-property rights.
This agreement to arbitrate is intended to be broadly interpreted, and includes claims under any statute, regulation, or legal or equitable theory. The Federal Arbitration Act, 9 U.S.C. § 1 et seq. (“FAA”), governs this agreement and questions of arbitrability. Unless you and Holon agree otherwise in writing, arbitration will be administered under the JAMS rules then in effect. The arbitrator may award the same damages and relief on an individual basis as a court (including injunctive relief). Judgment on the award may be entered in any court of competent jurisdiction.
BY AGREEING TO THESE TERMS, YOU AND HOLON ARE EACH WAIVING THE RIGHT TO SUE IN COURT, INCLUDING THE RIGHT TO RECEIVE A TRIAL BY JURY, AND THE RIGHT TO PARTICIPATE AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS ACTION, CLASS-WIDE ARBITRATION, PRIVATE ATTORNEY-GENERAL ACTION, OR ANY OTHER REPRESENTATIVE PROCEEDING.
This agreement does not allow class arbitrations even if the JAMS rules would. You and Holon are entitled to pursue arbitration on an individual, bilateral basis only. Unless you and Holon agree otherwise in writing, the arbitrator may not consolidate your claims with any other party’s claims and may not preside over any form of representative or collective proceeding.
Arbitration will be held in the U.S. county where you live or work, in Henrico County, Virginia, or any other location to which we mutually agree, subject to Virgina law.
How to opt out of arbitration
You may opt out of this agreement to arbitrate by sending Holon written notice within 30 days of the date you first accepted these Terms. Send your opt-out notice to compliance@holonhealth.com with the subject line “Site Arbitration Opt-Out” and include: (1) your name, (2) your address, (3) your email address, (4) the title and version of these Terms (“Terms of Use, Version 2026.04”), and (5) a clear statement that you wish to opt out of the arbitration provision. Opting out of arbitration will not affect any other portion of these Terms.
15. Governing law and venue
These Terms are governed by the laws of the Commonwealth of Virginia, without regard to conflict-of-laws principles, except that the FAA governs the interpretation and enforcement of the arbitration provision. Subject to the arbitration provision in Section 14, any action arising out of or related to these Terms or the Site will be brought exclusively in the federal or state courts located in Henrico County, Virginia, and you consent to the personal jurisdiction of those courts.
Each party retains all rights to relief available in small claims court under Section 14.
16. Termination
Holon may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including a violation of these Terms. You may stop using the Site at any time. Sections of these Terms that by their nature should survive termination — including the provisions on Intellectual Property, Disclaimers, Limitation of Liability, Indemnification, Arbitration, and Governing Law — will survive.
17. Changes to these Terms
Holon may update these Terms from time to time. The most current version will be posted at holonhealth.com/terms-of-use and will include the effective date. If we make material changes, we will notify you through the Site, by email, or by another reasonable means before the change takes effect. Your continued use of the Site after a change takes effect indicates your acceptance of the updated Terms.
18. Copyright complaints (DMCA)
If you believe that content on the Site infringes your copyright, please send a written notice complying with the requirements of the Digital Millennium Copyright Act (DMCA) to Holon’s designated agent: DMCA Agent, Holon Health, Inc., 3540 Pump Rd, #1188, Richmond, VA 23233-1115; email: compliance@holonhealth.com. Your notice must include (a) a physical or electronic signature; (b) identification of the copyrighted work; (c) identification of the material claimed to be infringing and information sufficient to permit Holon to locate it; (d) your contact information; (e) a statement that you have a good-faith belief that the use is not authorized; and (f) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the copyright owner or are authorized to act on the owner’s behalf.
19. General
- Entire agreement. These Terms, together with the documents listed in Section 1, are the entire agreement between you and Holon regarding their subject matter and supersede any prior or contemporaneous understandings.
- Severability and reformation. If any provision is held invalid, void, or unenforceable, the remaining provisions will continue in full force and effect, and the unenforceable provision will be reformed to the minimum extent necessary to make it enforceable while preserving the parties’ intent.
- Assignment. You may not assign these Terms without Holon’s prior written consent. Holon may assign these Terms in whole or in part without restriction.
- No waiver. A failure to enforce a provision is not a waiver of that or any other provision.
- Notices. Notices to Holon should be sent to compliance@holonhealth.com or to Holon Health, Inc., ATTN: Privacy Officer, 3540 Pump Rd, #1188, Richmond, VA 23233-1115. Holon may give notices to you by email, by posting on the Site, or by another reasonable means.
- Force majeure. Holon will not be liable for delays or failures caused by events beyond its reasonable control.
- No third-party beneficiaries. These Terms do not create rights for any third party.
